Purpose and Scope<\/strong><\/h4>\n\n\n\n<p>This document defines the ethical standards, confidentiality requirements, conduct expectations, and AML\/CTF procedures applicable to all employees, directors, consultants, representatives and partner offices of <strong>Kurz Sullivan<\/strong>.<\/p>\n\n\n\n<p>Its purpose is to:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>establish a unified governance and compliance framework,<\/li>\n\n\n\n<li>define mandatory principles of integrity, professionalism and responsible conduct,<\/li>\n\n\n\n<li>ensure strict adherence to confidentiality obligations and NDAs,<\/li>\n\n\n\n<li>protect client information and strategic business materials,<\/li>\n\n\n\n<li>prevent financial crime, money laundering and terrorist financing,<\/li>\n\n\n\n<li>support consistent processes across all jurisdictions where Kurz Sullivan operates.<\/li>\n<\/ul>\n\n\n\n<p>This policy applies to the London head office, the Prague EU operations hub and all recognised partner offices.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h4 class=\"wp-block-heading\"><strong>2. Ethical Code<\/strong><\/h4>\n\n\n\n<h5 class=\"wp-block-heading\"><strong>2.1 Integrity and Professional Conduct<\/strong><\/h5>\n\n\n\n<p>All personnel must act with honesty, independence and objectivity. Conduct that may compromise the company\u2019s integrity, reputation or client interests is prohibited.<\/p>\n\n\n\n<h5 class=\"wp-block-heading\"><strong>2.2 Confidentiality and Information Protection<\/strong><\/h5>\n\n\n\n<p>All client and company information is strictly confidential and may only be used for legitimate business purposes.<br>This obligation continues indefinitely, including after termination.<\/p>\n\n\n\n<h5 class=\"wp-block-heading\"><strong>2.3 NDA Compliance<\/strong><\/h5>\n\n\n\n<p>All employees, contractors and partners must follow:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>internal confidentiality rules,<\/li>\n\n\n\n<li>NDAs with clients, partners or the company,<\/li>\n\n\n\n<li>secure data-handling and access protocols.<\/li>\n<\/ul>\n\n\n\n<p>Unauthorised disclosure is a serious breach and may result in termination and legal action.<\/p>\n\n\n\n<h5 class=\"wp-block-heading\"><strong>2.4 Conflicts of Interest<\/strong><\/h5>\n\n\n\n<p>Any actual or potential conflict must be identified, disclosed and managed transparently.<\/p>\n\n\n\n<h5 class=\"wp-block-heading\"><strong>2.5 Anti-Corruption and Anti-Bribery<\/strong><\/h5>\n\n\n\n<p>Kurz Sullivan operates a zero-tolerance approach to bribery, facilitation payments and corrupt behaviour.<\/p>\n\n\n\n<h5 class=\"wp-block-heading\"><strong>2.6 Professional Competence<\/strong><\/h5>\n\n\n\n<p>All personnel must maintain relevant professional knowledge and regulatory awareness. Compliance training is mandatory.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h4 class=\"wp-block-heading\"><strong>3. Confidentiality &amp; NDA Framework<\/strong><\/h4>\n\n\n\n<h5 class=\"wp-block-heading\"><strong>3.1 Scope of Confidential Information<\/strong><\/h5>\n\n\n\n<p>Confidential information includes, without limitation:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>client data, personal information and financial details,<\/li>\n\n\n\n<li>investment strategies, analyses and internal reports,<\/li>\n\n\n\n<li>agreements, contracts, business plans and legal materials,<\/li>\n\n\n\n<li>proprietary methodologies, tools and pricing structures.<\/li>\n<\/ul>\n\n\n\n<h5 class=\"wp-block-heading\"><strong>3.2 Protection and Storage<\/strong><\/h5>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Confidential data must be stored only in authorised, secure environments.<\/li>\n\n\n\n<li>Access is granted strictly on a need-to-know basis.<\/li>\n\n\n\n<li>Sensitive data must be transmitted via secure or encrypted channels.<\/li>\n<\/ul>\n\n\n\n<h5 class=\"wp-block-heading\"><strong>3.3 Prohibited Actions<\/strong><\/h5>\n\n\n\n<p>Personnel may not:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>copy or transmit confidential information without approval,<\/li>\n\n\n\n<li>disclose information to unauthorised third parties,<\/li>\n\n\n\n<li>remove documents from secure systems without permission,<\/li>\n\n\n\n<li>use confidential information for personal benefit.<\/li>\n<\/ul>\n\n\n\n<h5 class=\"wp-block-heading\"><strong>3.4 Post-Termination Obligations<\/strong><\/h5>\n\n\n\n<p>Confidentiality and NDA obligations remain binding indefinitely, even after cooperation ends.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h4 class=\"wp-block-heading\"><strong>4. AML \/ CTF Policy<\/strong><\/h4>\n\n\n\n<h5 class=\"wp-block-heading\"><strong>4.1 Client Due Diligence (CDD)<\/strong><\/h5>\n\n\n\n<p>Client verification is mandatory prior to onboarding.<\/p>\n\n\n\n<h5 class=\"wp-block-heading\">Individual Clients<\/h5>\n\n\n\n<ul class=\"wp-block-list\">\n<li>identity and address verification,<\/li>\n\n\n\n<li>date of birth verification,<\/li>\n\n\n\n<li>document authenticity checks.<\/li>\n<\/ul>\n\n\n\n<h5 class=\"wp-block-heading\">Corporate Clients<\/h5>\n\n\n\n<ul class=\"wp-block-list\">\n<li>verification of legal existence,<\/li>\n\n\n\n<li>identification of UBOs,<\/li>\n\n\n\n<li>directors and authorised signatories,<\/li>\n\n\n\n<li>ownership and control structure.<\/li>\n<\/ul>\n\n\n\n<p>Enhanced Due Diligence is required for high-risk clients.<\/p>\n\n\n\n<h5 class=\"wp-block-heading\"><strong>4.2 Risk Assessment<\/strong><\/h5>\n\n\n\n<p>Clients are risk-assessed based on factors such as:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>jurisdictional risk,<\/li>\n\n\n\n<li>PEP status,<\/li>\n\n\n\n<li>Source of Funds (SoF) \/ Source of Wealth (SoW),<\/li>\n\n\n\n<li>industry risk,<\/li>\n\n\n\n<li>adverse media,<\/li>\n\n\n\n<li>transaction behaviour.<\/li>\n<\/ul>\n\n\n\n<h5 class=\"wp-block-heading\"><strong>4.3 Sanctions and PEP Screening<\/strong><\/h5>\n\n\n\n<p>Clients and related parties are screened against sanctions and PEP lists on onboarding and periodically thereafter.<\/p>\n\n\n\n<h5 class=\"wp-block-heading\"><strong>4.4 Source of Funds \/ Source of Wealth<\/strong><\/h5>\n\n\n\n<h5 class=\"wp-block-heading\">Source of Funds<\/h5>\n\n\n\n<p>Verification of how a transaction is being financed.<\/p>\n\n\n\n<h5 class=\"wp-block-heading\">Source of Wealth<\/h5>\n\n\n\n<p>Verification of how the client accumulated their overall wealth.<\/p>\n\n\n\n<p>Acceptable evidence includes bank statements, contracts, audited accounts, inheritance documents, tax filings, etc.<\/p>\n\n\n\n<h5 class=\"wp-block-heading\"><strong>4.5 Transaction Monitoring<\/strong><\/h5>\n\n\n\n<p>The company reviews:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>unusual or inconsistent transaction patterns,<\/li>\n\n\n\n<li>large or cross-border transfers,<\/li>\n\n\n\n<li>payments from higher-risk jurisdictions,<\/li>\n\n\n\n<li>transactions without clear commercial purpose.<\/li>\n<\/ul>\n\n\n\n<p>Any suspicious activity must be escalated internally.<\/p>\n\n\n\n<h5 class=\"wp-block-heading\"><strong>4.6 Reporting and Escalation<\/strong><\/h5>\n\n\n\n<p>Financial crime suspicions must be reported internally to the designated compliance function.<br>\u201cTipping off\u201d is strictly prohibited.<\/p>\n\n\n\n<h5 class=\"wp-block-heading\"><strong>4.7 Record Keeping<\/strong><\/h5>\n\n\n\n<p>All AML and KYC documentation is retained securely for the required retention period.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h4 class=\"wp-block-heading\"><strong>5. Risk Scoring Matrix<\/strong><\/h4>\n\n\n\n<p>Kurz Sullivan applies a structured risk-assessment model that classifies clients into four categories:<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h5 class=\"wp-block-heading\"><strong>Low Risk (Score 0\u20134)<\/strong><\/h5>\n\n\n\n<p><strong>Characteristics:<\/strong><\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>resident in a low-risk jurisdiction,<\/li>\n\n\n\n<li>simple and transparent SoF\/SoW,<\/li>\n\n\n\n<li>no PEP exposure.<\/li>\n<\/ul>\n\n\n\n<p><strong>Requirements:<\/strong><\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>standard CDD,<\/li>\n\n\n\n<li>basic SoF documentation.<\/li>\n<\/ul>\n\n\n\n<p><strong>Monitoring:<\/strong><\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>review every 3\u20135 years; routine monitoring.<\/li>\n<\/ul>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h5 class=\"wp-block-heading\"><strong>Medium Risk (Score 5\u20138)<\/strong><\/h5>\n\n\n\n<p><strong>Characteristics:<\/strong><\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>generally regulated jurisdiction with minor elevated risk factors,<\/li>\n\n\n\n<li>limited structural complexity,<\/li>\n\n\n\n<li>SoF\/SoW may require clarification.<\/li>\n<\/ul>\n\n\n\n<p><strong>Requirements:<\/strong><\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>enhanced CDD,<\/li>\n\n\n\n<li>additional documentation.<\/li>\n<\/ul>\n\n\n\n<p><strong>Monitoring:<\/strong><\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>review every 2\u20133 years; heightened alerts.<\/li>\n<\/ul>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h5 class=\"wp-block-heading\"><strong>High Risk (Score 9\u201312)<\/strong><\/h5>\n\n\n\n<p><strong>Characteristics:<\/strong><\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>client exposure to higher-risk jurisdictions or industries,<\/li>\n\n\n\n<li>complex ownership structure,<\/li>\n\n\n\n<li>significant or cross-border activity,<\/li>\n\n\n\n<li>PEP involvement.<\/li>\n<\/ul>\n\n\n\n<p><strong>Requirements:<\/strong><\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Enhanced Due Diligence (EDD),<\/li>\n\n\n\n<li>senior management approval.<\/li>\n<\/ul>\n\n\n\n<p><strong>Monitoring:<\/strong><\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>annual review; targeted monitoring.<\/li>\n<\/ul>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h5 class=\"wp-block-heading\"><strong>Very High Risk (Score 13+)<\/strong><\/h5>\n\n\n\n<p><strong>Characteristics:<\/strong><\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>operations in high-risk\/sanction-sensitive jurisdictions,<\/li>\n\n\n\n<li>opaque or incomplete SoF\/SoW,<\/li>\n\n\n\n<li>adverse media or unresolved red flags.<\/li>\n<\/ul>\n\n\n\n<p><strong>Requirements:<\/strong><\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>full EDD,<\/li>\n\n\n\n<li>potential refusal of onboarding.<\/li>\n<\/ul>\n\n\n\n<p><strong>Monitoring:<\/strong><\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>continuous monitoring if accepted in exceptional circumstances.<\/li>\n<\/ul>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h4 class=\"wp-block-heading\"><strong>6. Internal Security &amp; Operational Controls<\/strong><\/h4>\n\n\n\n<ul class=\"wp-block-list\">\n<li>strict access management,<\/li>\n\n\n\n<li>segregation of duties,<\/li>\n\n\n\n<li>cybersecurity procedures (encryption, MFA, VPN),<\/li>\n\n\n\n<li>secure data systems,<\/li>\n\n\n\n<li>periodic internal audits and compliance reviews.<\/li>\n<\/ul>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h4 class=\"wp-block-heading\"><strong>7.
